PUBLIC OFFER AGREEMENT

1. GENERAL PROVISIONS

1.1. Sole Proprietor Verbovska Valentyna Hryhorivna, Tax ID / EDRPOU 2647620843, hereinafter referred to as the “Seller,” publishes this Public Offer Agreement for the sale of goods via distance selling through the online store https://galeriaparadis.com.ua/

1.2. Placing an order on the website constitutes confirmation that the Buyer has reviewed and agrees to the terms of this Public Offer Agreement set out below.

1.3. This Public Offer Agreement is public in nature, meaning that under Article 633 of the Civil Code of Ukraine its terms are the same for all buyers regardless of status (individual, legal entity, or sole proprietor). By fully accepting this Agreement, the Buyer agrees to its terms and the procedure for placing orders, payment, and delivery of goods.

1.4. The Agreement is deemed concluded at the moment the Buyer clicks the “order” button on the checkout page and confirms the purchase.

1.5. By placing an order on the website, the Customer unconditionally agrees to comply with the terms of this Agreement and confirms that they have read and understood them.

2. SUBJECT OF THE AGREEMENT

2.1. The Seller undertakes to transfer ownership of the goods to the Buyer, and the Buyer undertakes to pay for and accept the goods under the terms of this Agreement. Ownership of the goods passes to the Buyer at the moment of delivery, provided full payment has been made in accordance with this Agreement.

2.2. The Buyer is obliged to independently familiarize themselves with the terms of this Agreement. The Seller is not obliged to provide additional notification or information about the existence of the Agreement other than its publication on the website.

2.3. The owner of the online store reserves the right to unilaterally amend this Agreement without prior notice to third parties. The new version becomes effective upon publication on the website unless otherwise stated.

2.4. This Agreement governs the sale and purchase of goods in the online store, including:

• voluntary selection of goods by the Buyer;

• independent order placement by the Buyer;

• payment for the order;

• processing and delivery of the order to the Buyer under the terms of this Agreement.

3. ORDER PLACEMENT PROCEDURE

3.1. The Buyer may place an order for any available product listed on the website.

3.2. If the product is out of stock, the company manager must inform the Buyer.

3.3. If the product is unavailable, the Buyer may replace it with another product at their discretion.

3.4. The order is placed by adding the product to the “cart.”

3.5. The order is considered properly placed if the Client completes all required fields enabling identification and contact:

• Full name;

• Delivery address;

• Contact phone number;

• Email address;

• Preferred payment method;

• Preferred delivery method.

3.6. The order is considered confirmed after telephone confirmation by the Seller’s manager using the phone number provided. If the Seller’s manager cannot contact the Buyer within 24 hours after placing the order, the Seller has the right to unilaterally terminate the Agreement and cancel the order without court proceedings.

4. ORDER ACCEPTANCE BY THE ONLINE STORE

4.1. Upon receiving an order, the manager of https://galeriaparadis.com.ua/ checks product availability and, if the order complies with Section 3.5, accepts the order and contacts the Client to confirm details.

4.2. After acceptance of the order, the Client may cancel or modify the order (add/remove items, change product characteristics such as color, size, quantity, etc.).

5. ORDER PROCESSING

5.1. The processing time for an order is up to 2 (two) business days from the date of placement. If the order is placed on a weekend or public holiday, processing begins on the next business day.

6. PAYMENT TERMS

6.1. Payment methods:

• Cash on delivery at Nova Poshta branches;

• Bank card payment on the website.

6.2. Product prices are stated in Ukrainian hryvnia (UAH) per unit.

6.3. Delivery costs are paid separately by the Buyer and are non-refundable in case of return/exchange, except as required by applicable Ukrainian law. Prices may be changed unilaterally by the Seller, but not for paid orders.

6.4. The Seller may cancel an order if the product is unavailable, notifying the Buyer. In such cases, all mutual obligations are terminated, and payments made by bank card are refunded to the original card.

7. DELIVERY TERMS

7.1. Delivery within Ukraine is carried out by “Nova Poshta” courier service.

7.2. Delivery time is up to 7 days from the date of order placement, depending on product availability.

8. RIGHTS AND OBLIGATIONS OF THE PARTIES

8.1. Seller’s rights:

• To terminate services unilaterally if the Buyer violates the Agreement.

8.2. Buyer’s obligations:

• To pay for and receive the order in a timely manner.

8.3. Buyer’s rights:

• To place orders in the online store;

• To enter into an electronic agreement;

• To require fulfillment of this Agreement by the Seller.

9. LIABILITY OF THE PARTIES

9.1. Parties are liable for non-performance or improper performance under this Agreement and applicable Ukrainian law.

9.2. The Seller is not responsible for:

• minor color differences due to monitor display settings;

• accuracy of information provided by the Buyer;

• delays caused by circumstances beyond Seller’s control;

• unlawful actions performed by the Buyer using internet access;

• transfer of Buyer’s login or network identifiers to third parties.

9.3. In case of force majeure, both parties are released from obligations. Force majeure includes extraordinary and unforeseeable events beyond the parties’ control.

9.4. The parties will resolve disputes through negotiation whenever possible.

10. OTHER TERMS

10.1. The online store may unilaterally modify this Agreement upon publication on the website https://galeriaparadis.com.ua/

10.2. The store is intended for remote sales of goods via the internet.

10.3. The Buyer is responsible for the accuracy of provided information. By placing an order and making payment, the Buyer consents to the collection, processing, and storage of personal data under Ukrainian law.

10.4. Payment constitutes full agreement with the terms of this Public Offer Agreement.

10.5. The date of electronic agreement is defined under Article 11 of the Law of Ukraine “On Electronic Commerce.”

10.6. Use of the website for browsing and ordering is free of charge.

10.7. Buyer information is confidential and used solely for order processing, communication, delivery, and settlements.

11. RETURN POLICY

11.1. Returns are accepted only to the original purchase address.

11.2. Goods of proper quality may be returned or exchanged within 14 days (excluding purchase day) if:

• no signs of use or wear;

• original condition and consumer properties are preserved;

• original packaging and tags are intact.

11.3. Return shipping costs are paid by the Buyer.

11.4. Goods that have been used or have damaged tags are not eligible for return or exchange.

12. TERM OF THE AGREEMENT

12.1. The electronic agreement is considered concluded upon acceptance of the offer in accordance with Article 11 of the Law of Ukraine “On Electronic Commerce.”

12.2. The Agreement may be terminated by mutual consent before payment. After payment, termination is not possible.

12.3. The Agreement may be terminated unilaterally in case of breach by either party, or in other cases provided by Ukrainian law.
